Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Howskey, a software-as-a-service product offered by Howskey Inc. (“Howskey,” “we,” “us,” or “our”), including our website at www.howskey.com, our application at app.howskey.com, and related services.

By accessing, registering for, starting a trial of, or using Howskey, you agree to these Terms. If you do not agree, do not use the Service. If you use Howskey on behalf of a business, property management company, or other organization, you represent that you have the authority to bind that organization to these Terms.

1. Acceptance of Terms

By using Howskey, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You must be legally able to enter into a binding agreement to use the Service. If you are using the Service for a business, these Terms apply both to you and, where applicable, to the business you represent.

The Service is not intended for use by individuals or businesses located in Quebec. By using the Service, you represent that you are not located in, and are not using the Service from, the Province of Quebec.

2. Description of Service

Howskey is a subscription-based SaaS platform designed for rental hosts and property managers. The Service allows hosts to upload and manage property information and uses AI to help answer guest questions, including through integrations such as WhatsApp.

Howskey is intended to help hosts provide faster and more consistent guest communications. Guests generally do not need to create a Howskey account to receive responses.

Howskey may include features that allow hosts to review, edit, approve, update, or otherwise control property information and AI-generated responses.

We may update, improve, modify, or discontinue features of the Service from time to time.

3. User Responsibilities

You are responsible for your use of the Service and for all content, instructions, materials, and information you upload, submit, connect, or make available through Howskey, including property details, house rules, check-in instructions, amenities, policies, and guest communication guidance.

As a host or property manager, you agree to:

  • Provide accurate, lawful, and up-to-date property information.
  • Review and maintain the information used by the Service to generate responses.
  • Use reasonable care to verify that guest-facing information is correct, especially where safety, property access, fees, local rules, or time-sensitive details are involved.
  • Keep your account credentials secure and confidential.
  • Be responsible for all activity that occurs under your account.
  • Ensure that your use of the Service complies with applicable laws, regulations, contracts, and platform rules that apply to your rental operations.

You are solely responsible for your relationship with your guests, your rental listings, your property operations, and any decisions or actions taken based on the Service.

4. Acceptable Use

You may not use Howskey to create, store, transmit, publish, or enable content or conduct that is illegal, harmful, deceptive, infringing, abusive, or otherwise objectionable.

Without limitation, you may not use the Service to:

  • Provide false, misleading, or deceptive information to guests.
  • Upload or transmit content that is unlawful, defamatory, harassing, threatening, discriminatory, obscene, or fraudulent.
  • Promote illegal activity or violate any applicable law or regulation.
  • Infringe or misappropriate the intellectual property, privacy, publicity, or other rights of any person or entity.
  • Transmit malware, malicious code, or harmful material.
  • Interfere with or disrupt the Service or related systems.
  • Attempt to gain unauthorized access to accounts, data, or systems.
  • Use the Service to spam, phish, impersonate others, or send unauthorized communications.
  • Use the Service in a way that could create a risk of physical harm, financial harm, or significant reputational harm to guests or third parties.

We may suspend or terminate access to the Service if we believe, in our reasonable judgment, that your use violates these Terms or creates risk for us, our users, or others.

5. AI Disclaimer

Howskey uses artificial intelligence to help generate responses and suggestions. AI-generated output may not always be accurate, complete, current, suitable, or appropriate for a specific situation.

You acknowledge and agree that:

  • AI responses may contain errors, omissions, or misleading information.
  • AI-generated content should be reviewed by you before you rely on it for important, sensitive, legal, financial, safety-related, or time-critical matters.
  • Howskey does not guarantee that AI responses will be correct, available, or fit for any particular purpose.
  • The Howskey AI assistant generates responses exclusively from property information and documents provided by the Host. Howskey does not access, retrieve, or process data from any booking platform, reservation system, or third-party database.

You remain responsible for reviewing and controlling the information provided to your guests. For example, if a guest asks about check-in time, parking, or emergency procedures, you should ensure those answers reflect your actual property policies and current conditions.

6. Subscription, Billing & Cancellation

Subscription Plans: Howskey is offered on a subscription basis. Current subscription fees, billing intervals, included features, and any usage limits are described on the Howskey pricing page and/or presented during the signup or checkout process. By starting a trial or purchasing a subscription, you agree to the pricing and billing terms presented to you at that time.

Free Trial: Howskey may offer a free trial for eligible users, properties, or accounts. If a free trial is offered, the applicable trial length, eligibility requirements, and any conditions will be described on the pricing page or during signup. Unless otherwise stated at signup, your paid subscription will begin automatically at the end of the trial period unless you cancel before the trial ends.

Recurring Billing: Subscriptions renew automatically on a recurring basis according to the billing interval selected at signup, unless canceled before renewal. You authorize Howskey Inc. and its payment processors to charge the applicable subscription fees, taxes, and other amounts due using your selected payment method.

Billing Information: You are responsible for providing accurate, complete, and current billing and payment information and for keeping that information up to date. If a payment cannot be processed, we may suspend or terminate access to the Service until payment is successfully completed.

Changes to Fees: We may change subscription fees or introduce new charges from time to time. Any changes will apply prospectively, and we will provide reasonable notice before updated fees take effect for a future billing cycle or renewal.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us using the contact details provided on our website.Unless otherwise stated, cancellation will take effect at the end of your current billing period, and you will continue to have access to the Service until that time.

No Long- Term Commitment: Howskey does not require a long - term contract unless expressly stated in a separate written agreement.

Refunds: Except as required by applicable law or as otherwise expressly stated by us in writing, subscription fees are non - refundable once charged, including for partial billing periods or unused time remaining in a subscription term.

Pricing and Billing Terms: In the event of a conflict between these Terms and the pricing or billing terms presented to you during signup for a specific subscription, the pricing and billing terms presented at signup will control with respect to that subscription.

7. Fair Use Policy

Howskey's subscription and trial plans are made available on the basis of reasonable and good-faith use. The AI functionality offered through the Service is intended to support day-to-day guest communications for your listed properties.

Reasonable use means using the AI assistant in a manner consistent with the normal operation of a short-term rental property, including AI service responding to genuine guest inquiries about property information, check-in procedures, amenities, house rules, and similar property-specific topics.

Howskey reserves the right to monitor aggregate usage patterns and, at its reasonable discretion, to limit, throttle, or temporarily suspend AI functionality for accounts that exceed what we determine to be reasonable use during any trial or subscription period. This may include, without limitation, unusually high volumes of Uploaded documents for AI-driven extraction, AI-generated queries, automated or programmatic interactions, or use patterns that suggest the Service is being used for purposes other than property-level guest communication.

  • Usage limits, if any, applicable to your subscription plan will be described on the pricing page, presented at signup, or presented in the application during free trial and ongoing usage.
  • Where no specific limit is stated, Howskey may nonetheless apply fair use controls to protect the availability, performance, and integrity of the Service for all users.
  • If your usage is identified as exceeding reasonable use, we will endeavor to notify you before or at the time any restriction is applied, where practicable.
  • Repeated or material excess usage may result in a requirement to upgrade to a higher-tier plan (depending on availability), a temporary restriction of AI features, or, in cases of significant abuse, suspension or termination of your account in accordance with Section 12.

Nothing in this section limits Howskey's rights under Section 4 (Acceptable Use) or Section 12 (Termination). Fair use controls are applied in good faith and are not intended to affect users operating within the normal scope of their rental business.

8. Data Usage

We use data you provide to operate, maintain, secure, improve, and support the Service. This may include using property information, account information, usage data, and communication-related data to deliver Howskey functionality.

Our handling of personal information and other data is described in our Privacy Policy. By using the Service, you acknowledge that your information will be handled in accordance with that policy.

You are responsible for ensuring that you have any rights, permissions, or notices needed to provide data to us and to use the Service in connection with your guests and properties.

Howskey does not store the personal contact information of guests who interact with the Howskey assistant. All guest interactions are processed transiently for the sole purpose of generating a property-specific response.

9. Third-Party Services

Howskey may integrate with or depend on third-party services, platforms, or providers, including messaging services such as WhatsApp and related infrastructure providers.

Your use of third-party services may be subject to separate terms, privacy policies, and rules imposed by those third parties. We are not responsible for third-party services, including their availability, performance, security, policies, or acts or omissions.

We do not guarantee that any integration with a third-party service will be uninterrupted, compatible, or continuously available.

10. Platform Independence and Booking Platforms

Howskey is an independent, property-level service. Howskey is not affiliated with, endorsed by, sponsored by, or integrated with any online travel agency or booking platform, including Airbnb, Vrbo, Booking.com, or others. Any reference to those platform names on this site is solely for descriptive purposes to identify platforms on which hosts may list their properties. All respective trademarks belong to their owners.

Howskey is not a partner, vendor, or authorized third-party provider of Airbnb, Vrbo, or any other booking platform.

Hosts are solely responsible for ensuring their use of Howskey complies with the terms of service of any booking platform through which their property is listed, as well as applicable privacy laws and local regulations. Howskey operates independently of any booking platform and does not direct or encourage off-platform conduct in violation of any third-party platform's policies.

11. Intellectual Property

The website, including its software, design, branding, content, features, and underlying technology, is owned by Howskey Inc. or its licensors and is protected by applicable intellectual property laws.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business use in connection with your short-term rental operations.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or otherwise attempt to extract source code from the Service, except to the extent such restriction is prohibited by law.

You retain your rights in the content and data you submit to the Service, subject to the rights you grant us to operate and provide the Service.

12. Termination

You may stop using the Service at any time and may cancel your subscription as described in Section 6.

We may suspend or terminate your access to the Service, with or without notice, if:

  • You violate these Terms.
  • You fail to pay applicable fees.
  • We reasonably believe your use of the Service creates legal, security, or operational risk.
  • We are required to do so by law or by a third-party provider.
  • We discontinue the Service.

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination will continue to apply, including sections relating to payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

13. Disclaimer of Warranties

To the maximum extent permitted by law, Howskey is provided on an “as is” and “as available” basis.

Howskey makes no warranties or representations, express or implied, about the Service, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, or uninterrupted operation.

We do not warrant that the Service will be error-free, secure, or free from harmful components, or that any content or AI-generated response will be accurate or suitable for your needs.

14. Limitation of Liability

To the maximum extent permitted by law, Howskey Inc. and its directors, officers, employees, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or business opportunities, arising out of or related to the Service or these Terms.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total amount you paid to us for Howskey in the 12 months before the event giving rise to the claim. If you have not paid any fees, our total liability will be limited to CAD$100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Howskey Inc. and its directors, officers, employees, affiliates, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • Your use of the Service.
  • Your content, data, or property information.
  • Your communications or interactions with guests.
  • Your violation of these Terms.
  • Your violation of any applicable law or the rights of any third party.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.

16. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website or through the Service, and we may also provide other notice where appropriate.

Your continued use of the Service after updated Terms become effective means you accept the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

17. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada, unless applicable law requires otherwise.

19. Entire Agreement

These Terms, together with any applicable order terms and our Privacy Policy, form the entire agreement between you and Howskey and supersede any prior or contemporaneous understandings relating to the Service.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

No failure or delay by Howskey in enforcing any right or provision under these Terms will operate as a waiver of that right or provision.
